General Terms and Conditions

Article 1 Definitions, In these general terms and conditions, the following terms shall have the following meanings:

Client: The natural or legal person who has commissioned Propertyspotter to perform work.

The work and products of Propertyspotter are: creating and editing products such as: photos, visualizations, animations, designs, concepts, virtual tours, 3D photography and videos, each of these products hereinafter referred to as: Images.

Article 2 Quotations, offers

The mere issuing of a price quote or similar communication, whether or not indicated with a quotation, does not oblige Propertyspotter to conclude an agreement with the Client.

Issuing a quotation does not happen in all cases and is not a requirement before an invoice is sent to the client.

The provisions in these general terms and conditions have not only been made for the benefit of Propertyspotter, but also for the benefit of all other persons working for Propertyspotter, or all persons engaged in the execution of any assignment by Propertyspotter, or all persons for whose actions or omissions Propertyspotter could be liable.

Article 3 Execution of the assignment

All activities performed by Propertyspotter are performed to the best of its knowledge and ability in accordance with the requirements of good workmanship. With regard to the intended activities, there is an obligation of best efforts on the part of Propertyspotter, unless expressly stated otherwise, such as in the case of the delivery of specific products and/or services, where there is of course an obligation of results with regard to the delivery of the product and/or service in question.

When executing an assignment, Propertyspotter undertakes to handle the interests of the Client with due care. To the extent that Propertyspotter engages third parties in the execution of assignments, Propertyspotter will exercise due care in doing so.

The duration of the assignment can be influenced by all kinds of factors, such as the quality of the information from the Client, the cooperation of third parties, accident, technical failure, illness or other circumstances over which Propertyspotter has no influence. The periods within which the work must be completed can therefore only be regarded as fatal periods within the meaning of Book 6 of the Dutch Civil Code if this has been expressly agreed between the Client and Propertyspotter.

The Client shall ensure that all data that Propertyspotter indicates is necessary or that the Client should reasonably understand is necessary for the performance of the agreement, are provided to Propertyspotter in a timely and correct manner. If the data required for the performance of the agreement are not provided to Propertyspotter in a timely or correct manner, Propertyspotter has the right to suspend the performance of the agreement and/or charge the additional costs resulting from the delay to the Client at the usual rates.

The Client guarantees to Propertyspotter the accuracy of the data provided. Propertyspotter is not liable for damage of any nature whatsoever, because Propertyspotter has assumed incorrect and/or incomplete information provided by the Client, unless this incorrectness or incompleteness should have been known to Propertyspotter.

Propertyspotter will carry out the work at the Client's location, unless otherwise agreed in writing. The Client will ensure that the location is accessible and available to Propertyspotter and will provide the facilities reasonably desired by Propertyspotter, including utilities, free of charge.

The Client must inform Propertyspotter of specific points of attention with regard to the execution location, such as security, art objects, and the like. The Client will take adequate measures to enable Propertyspotter to carry out the assignment without additional measures. The Client indemnifies Propertyspotter against claims from third parties as a result of the Client's failure to perform, not performing on time or not performing properly the obligations. Costs in accordance with this article are for the account of the Client. Furthermore, the additional costs for the execution of the assignment that are involved in this are for the account of the Contractor.

If Propertyspotter or third parties engaged by Propertyspotter carry out work on the Client's premises or a location designated by the Client in connection with the assignment, the Client shall provide the facilities reasonably required by those employees free of charge. The Client shall indemnify Propertyspotter against any claims from third parties that may arise in connection with the performance of the assignment.
